General
1. Application

These terms apply to all goods and services supplied to or by Primesite Limited. By providing goods or services, the supplier agrees to be bound by these terms.

In the event of any conflict between these terms and any subcontract, supply agreement, or other arrangement, these terms prevail. No other agreement shall be deemed to vary, override, or subordinate these terms unless expressly agreed in writing and signed by a director of Primesite Limited.

Invoicing & Payment
2. Invoicing

All invoices must be submitted by email to the address below. Invoices dated on or before month end must be received no later than the 10th of the following month in order to be paid on the 20th.

This is an automated invoicing address and is not monitored. Any correspondence, queries, or commentary must be directed to your relevant Primesite contact — not to this address.

The following requirements must be strictly adhered to:

(a)Invoices must be correctly addressed to the contracting entity as specified in your agreement or purchase order. Invoices addressed to the wrong party will not be approved for payment.
(b)All invoices must be submitted in PDF format. Other file formats will not be processed.
(c)Each invoice must be attached as a separate file. Do not combine multiple invoices into a single PDF.
(d)Invoices included as links in the email body will not be processed.
(e)Multiple invoices may be included in one email, provided each is a separate PDF attachment.
(f)Statements may also be sent to this address.
(g)Posted or hand-delivered invoices are not accepted. Only invoices received by email to the address above will be uploaded to our accounting system and processed for payment.
3. Payment

Payment terms are the 20th of the month following invoice date, provided the invoice is received by the 10th. Where the 20th falls on a weekend or public holiday, payment will be made on the next business day.

4. Late or Non-Compliant Invoices

Invoices received after the 10th, or invoices that do not meet the requirements set out in these terms, will not be approved for payment.

Non-compliant invoices must be corrected and resubmitted with the correct addressee and details in accordance with these terms. Where a corrected invoice is received after the 10th of the month, it will fall into the following month's payment cycle.

Primesite Limited accepts no liability for delays arising from non-compliant invoicing.

5. Disputed Invoices

If any invoice or part of an invoice is disputed, Primesite Limited will endeavour to notify the supplier in a reasonable timeframe. The undisputed portion of any invoice will be paid on the normal payment date. The disputed portion will be paid following resolution of the dispute.

6. GST

All invoices must be valid tax invoices in accordance with the Goods and Services Tax Act 1985 and must include the supplier's GST registration number where applicable. Invoices that do not comply with the requirements of the GST Act will not be approved for payment.

Commercial
7. Retentions

Where applicable, retentions will be held and released in accordance with the Construction Contracts Act 2002 and any applicable amendments.

8. Set-Off

Primesite Limited reserves the right to set off any amounts owed by the supplier against payments due under any invoice or contract.

9. No Charge or Encumbrance

The supplier shall not register, lodge, or claim any charge, mortgage, caveat, lien, or other encumbrance over any property, asset, or interest of Primesite Limited or any related entity.

This clause applies regardless of any provision to the contrary in any subcontract agreement, supply agreement, or other arrangement between the parties. Any purported charge or encumbrance registered in breach of this clause is acknowledged by the supplier to have been registered without authority and must be immediately withdrawn at the supplier's cost upon demand.

General Provisions
10. Governing Law

These terms are governed by the laws of New Zealand. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the New Zealand courts.

These terms are effective from May 2026 and may be updated from time to time.
